This paper concerns the alignment of interests in banking regulation, having regard the Directive 2013/36/EU and the Regulation (EU) no. 575/2013. The research moves from the initial choices of the shareholders to perform the business of banking and then the focus goes to the corporate governance and in particular to the boards in charge of such a task. Main findings are the interactions between the sound management and the safeguard of the interests involved in any credit institutions. This highlights the need for an update of the current regulation, in order to set new standards for the protection of the resources invested in this business.
